PHOTOGRAPHY / VIDEOGRAPHER

 

NOW, THEREFORE, it is agreed as follows:

(A)The Client must satisfy himself/herself/It’s self that all necessary rights, model releases, clearances or consents which may be required for reproduction of people, places or items depicted within any works are obtained. It's is not the responsibility of the photographer. (B) It is acknowledged that the Photographer gives no warranty or undertaking that any such rights, releases or consents are or will be obtained whether in relation to the use of names, people, trademarks, registered or copyright designs or Works of art depicted in any picture. (C) In all cases the Client shall indemnify the Photographer against all expenses, damages, claims and legal costs arising. (D) The Photographer will not be liable for any loss or damage, for any consequential loss of profit or income however caused including negligence by the Photographer. (E) Any directions issued to client, their guests or employees during a photographic shoot are deemed to be at said persons own risk. The photographer cannot be held responsible for any personal accidents during this period. (F) The photographer will endeavour give the client contact details of another photographer in the event the photographer is unable to attend the event due to any cause beyond their reasonable control e.g. sudden illness, injury, victim of crime, flooding etc.

INDEMNITY 

 

  • XOCUBIC is only obliged to work to the given brief and specification outline with patens only to artwork creation and no other specification unless agreed upon within the clauses of this agreement.
  • Any stated timescale is dependent upon the client providing all required information/copy/images within the time set out at project initiation.
  • All quotes/estimates are valid for 14 days from the date of submission.
  • Payment must be made no later than 14 days after date of invoice unless otherwise agreed in writing.
  • XOCUBIC will require payment in advance, or a deposit of at least 30% -50% of the quote/estimate total prior to instigating work on an order.
  • When payment is overdue, XOCUBIC may suspend work, service and/or delivery without notice and without prejudice to any other legal remedy until due payment has been made.
  • All work remains copyrighted to XOCUBIC until all payment has been cleared to project completions.
  • A rejection fee will be required based on project status.
  • Quotes/estimates are based on the information provided by the Client, including but not limited to detail on quantities, structure, scope and functionality. Any quote/estimate may therefore be subject to change should the client’s requirements change at any time during the project. Should this occur, your account manager will endeavor to keep you informed.
  • Once the client has acknowledged and accepted completion of the project, any amendments will be charged at XOCUBIC standard billing structure of £75/hour.
  • XOCUBIC reserves the right to sub-contract the fulfilment of an order or any part thereof.
  • XOCUBIC shall not be liable or deemed to be in breach of contract by reason of any delay in performing, or failure to perform, any of its obligations if the delay or failure was due to any cause beyond its reasonable control.
  • If an account is unpaid for more than 14 days the account and its associated services are suspended. All outstanding payment must therefore be made before project reactivation.

  • Packages containing Photography services are priced for clients based within the UK only. Clients based outside of the UK will incur additional charges.
  • Content for all projects must be supplied within a 1weeks deadline of Deposit.
  • Project time with vary depending on scale and scope of project, late submission of content will effect deadline.
  • Quotation will be effected where deadline has been change or altered due to late submission.
  • XOCUBIC will not be deemed responsible for Viruses and infection or corrupted work during transit or arrival of a project.
  • Back of project will be kept for a maximum duration of 2 weeks there on after copies of back up will be charged at monthly rate.
  • £75 for reactivation of suspended accounts due to late payment.
  • Client shall pay for any preliminary work which is produced at his/her request, whether experimentally, Proofs, pull, samples, specimens, sketches, photographs, links or any representation, whether partial or total, or otherwise.
  • All images need to be supplied as a high resolution copy. For example, logos should be supplied as an EPS illustrator vector and images at 300dpi (min) in any of the following formatsPhotoshop (.PSD) .TIFFs .PNG. or Jpeg.
  •  If an account is unpaid for more than 14 days the account and its associated services are suspended. All outstanding payment must therefore be made before project reactivation.

SUMMARY 

INTRODUCTION

(A) These terms and conditions, together with any documents expressly referred to in them, contain the entire Agreement between XOCUBIC and the Client relating to the subject matter covered and supersede any previous agreements, arrangements, undertakings, proposals or contemporaneous communications, written or oral: between XOCUBIC and the Client in relation to such matters. No oral explanation or oral information given by any party shall alter the interpretation of these terms and conditions. In agreeing to these terms and conditions, you confirm that you have not relied on any representation other than those expressly stated in these terms and conditions and you agree that you shall have no remedy in respect of any misrepresentation which has not been made expressly in this Agreement. (B) This Agreement takes effect on the date on which you order our services. Acceptance of these terms is an absolute condition of the Client requesting work. A deposit or an order constitutes acceptance of these Terms and Conditions. (C) You warrant that the name, address and payment information provided when you place your order with XOCUBIC will be correct and you agree to notify XOCUBIC of any changes in the name, address and/or payment details. (D) You warrant that you possess the legal right and ability to enter into this Agreement and to use XOCUBIC’s services in accordance with this Agreement.

Draft & Concept:  Inital ideas are drafted for all related design artworks and presented as a viable solution. this may vary depending on scale of project and deadline upto a maximum of 3 idea within this solution. the client must pick a design to move forward to development stage.

 

Development/Finalization: changes will be made to chosen design from draft & concept stage amendments can be as followed, colour, shape implementation repositioning, fonts changes or change of images, sound. or video.

 

Finalization: once all change have been made according to client request will then be classed as finished and ready for submission all outstanding payment should be made during this stage for submission clearance. any change or amendments need in addition will be charged at our hourly rate of £75 an hour.  

PROJECT STAGES

(A) Payment must be made no more than 14 days after date of invoice unless otherwise agreed in writing in advance. (B) We will exercise our statutory right to interest under the Late Payment Of Commercial Debts (Interest) Act 1998 amended by European Directive 2000/35/EC if we are not paid according to these terms. (C) All quotes/estimates are valid for 14 days from the date of submission. (D) Quotes/estimates are based on the information provided by the Client, including but not limited to detail on quantities, structure, scope and functionality. Any quote/estimate may therefore be subject to change should the client’s requirements change at any time during the project. Should this occur, your account manager will endeavor to keep you informed. (E) Unless otherwise stated delivery, copywriting and VAT will be charged extra. (F) All invoices are subject to UK VAT at the current rate, unless a valid exemption certificate is provided. (G) XOCUBIC will require payment in advance, or a deposit of at least 30%  - 50% of the quote/estimate total prior to instigating work on an order. Percentage is subject services Where a deposit is required, the balance shall be due upon completion of the work, unless otherwise agreed in writing in advance. (H) When payment is overdue, XOCUBIC may suspend work, service and/or delivery without notice and without prejudice to any other legal remedy until due payment has been made. Furthermore, any work started but incomplete may be suspended and payment therefore becomes immediately due and payable, notwithstanding anything expressed herein, and any monies in respect of. (I) If your payment is returned by the bank as unpaid for any reason, you will be liable for a charge of £25 for each occurrence. (J) Once the client has acknowledged and accepted completion of the project, any amendments will be charged at XOCUBIC standard billing structure of £75/hour. Client are only eligible for 30mins free amendment session for each stage of the project, stages effected are (Draft & concept, Developmen). (K) All work remains copyrighted to XOCUBIC until settlement of relevant fees account. (L) The Client shall pay for any preliminary work which is produced at his/her request, whether experimentally, Proofs, pull, samples, specimens, sketches, photographs, links or any representation, whether partial or total, or otherwise. A rejection fee of 35% for draft, 50% for concept, or 75% for development is applicable on all designs executed by the designer, should the Client cancel their contract/order 

CHARGES

(A) XOCUBIC will aim to keep all projects out of public site until completion but may use draft and concept material for advertisement and promotional purposes unless clients opt out in writing. (B) The Client shall obtain and maintain adequate insurance cover in respect of any loss of service, or loss or damage to data stored on the Server. (C) XOCUBIC reserves the right to sub-contract the fulfilment of an order or any part thereof. (D) XOCUBIC shall not be required to use, print, upload or hold any matter which in its opinion is or may be of an illegal or libellous nature or an infringement of the proprietary or other rights of a third party. (E) After approval the Client shall have no claim against XOCUBIC for errors in the exemplar as approved by them.

LEGAL

XOCUBIC shall be under no liability if it shall be unable to carry out any provision of the contract for any reason beyond its control including (without limiting the foregoing) Act of God, legislation, war, fire, flood, drought, failure of power supply, lock-out, strike or other action taken by employees in contemplation or furtherance of a dispute or owing to any inability to procure materials required for the performance of the contract. During the continuance of such a contingency the Client may by written notice from XOCUBIC to terminate the contract and pay for work done and materials used’, but subject therefore shall otherwise accept delivery when available. (B) You agree that the XOCUBIC may disclose your name and address where any enquiries are made legally. (C) XOCUBIC shall not be liable or deemed to be in breach of contract by reason of any delay in performing, or failure to perform, any of its obligations if the delay or failure was due to any cause beyond its reasonable control. (D) Any notice to be given to the client may be sent by either email, or post to the address as appearing in this agreement. If sent by email shall unless the contrary is proved, be deemed to be received on the day it was sent or if sent by post shall be deemed to be served between three to five days following the date of posting. (E) The Client shall keep secure any identification, password and other confidential information relating to theirXOCUBIC account and shall notify us immediately of any known or suspected unauthorised use of their account or breach of security.

FORCE MAJEURE

(A) The ownership of the materials and copyright therein shall remain with XOCUBIC until payment in full has been received for all sums owing. Once payment has been received, ownership and copyright of page text and graphics or images specific to the Client shall pass to the Client. (B) Royalty of advertisement right will still remain with XOCUBIC unless client opt-out in writing. (C) Ownership of all code, meta data used in processing design, photos, video, web sites, pages, hosting, email and domain shall remain with XOCUBIC and it is expressly agreed that the use of such code in processing the material and project does not confer any passing of title from XOCUBIC to the Client.

COPYRIGHTS

(A) Any images supplied electronically will be incorporated into designs without charge, provided that they are of suitable quality. All images need to be supplied as EPS illustrator vector for logos and 300dpi (min) Photoshop .TIFFs .PNG. Jpeg for pictures. Any logos that need to be re-drawn will be charged extra at our hourly rate. All supplied images requiring scanning or alterations to be charged at £15 per image. Images sourced from external image libraries may incur additional license/royalty charges payable by the Client. (B) XOCUBIC will not be responsible for any materials damaged whether in transit or not and clients are required to make backups of any materials requesting development. (C) Should the Client supply text, artwork or images for their ordered service, XOCUBIC employees are not obliged to edit, check or guarantee the correctness thereof in any way whatsoever, and the end product or printing shall be made at the entire risk of the Client. (D) XOCUBIC may reject any materials supplied or specified by the Client which appear to them to be unsuitable. (E) Quantities of materials supplied by the Client shall be adequate to cover normal spoilage and specified area. (F)Proofs, pull, samples, specimens, sketches, photographs, links or any representation, whether partial or total, of the finished article in whatever form may be submitted to the Client for approval. (G) No backups of any files, databases or any other content will be made unless explicitly requested (with time taken to carry out requested backups charged at the standard rate of £75 per hour) or as part of our automated backup service (£175 for 6 months). (H) XOCUBIC will not be responsible for imperfect work caused by defects in or unsuitability of material and equipment supplied to XOCUBIC. And will not be responsible for Client’s material wasted in course of production. Extra costs incurred through the use of defective materials or equipment supplied are for the Client’s account. (I) You will not host, post, publish, disseminate, creates or provide link to or transmit: (J) Any material or information which is unlawful, infringing, threatening, abusive, malicious, defamatory, obscene, indecent, blasphemous, profane or otherwise objectionable in any way. (K) Any material containing a virus or other hostile computer programs will be rejected. (L) Any material or information which constitutes, or encourages the commission of a criminal offence, or which threatens, harasses, stalks, abuses, disrupts or violates the legal rights (including rights of privacy and publicity) of others, or which infringes any patent, trade mark, design right, copyright or any other intellectual property right or similar rights of any person which may subsist under the laws of any jurisdiction this will be for the clients account and responsibilities. (M) Content for all projects must be supplied within a 1weeks deadline of Deposit. (N) Project time with vary depending on scale and scope of project, late submission of content will effect deadline. (O) deadlines will be affected due to change or altered from late submission.

CONTENTS SUPPLIED & DELIVERED

(A) The Client’s property supplied to XOCUBIC on behalf of the Client, while it is in the possession of XOCUBIC or in transit to or from the Client, will be deemed to be at Client’s risk unless otherwise agreed and the Client should insure accordingly. (B) Goods will be dispatched at the client’s expense or must be collected by the Client when ready and the Client shall not refuse or delay delivery. (C) Advice of damage, or partial loss of goods in transit must be given in writing to XOCUBIC and the carrier within three clear days of delivery, or in the case of non-delivery within 28 days of despatch of the goods. All other complaints and claims must be made in writing to XOCUBIC within 28 days of delivery. (D) XOCUBIC shall not be liable of any claim unless the requirements have been complied with, except in any particular case where the Client proves that it was not possible. (E) Goods completed but not delivered becomes due and payable. Therefore after the expiration of 14 days’ notice XOCUBIC may dispose of such goods and property as they see fit. (F) XOCUBIC may also elect to cancel further work and/or not produce any unmade balance of such contract and recover from the Client any losses sustained by so doing. (G) XOCUBIC shall not be liable for any loss to the Client arising from delay in transit howsoever caused. (H) XOCUBIC shall not be responsible for any failure if clients fail to download digital material provided through any form of digital transfer via e-mail, cloud storage or download link. (I) Client are noticed via e-mail, social media, Telephone call or SMS message either prior or at the time a digital form of transfer is ready. Client are expect to download all data within 7 days. (J) Full payment is to be made to XOCUBIC for all completed project before digital transfer are made live or given to the client. (K) Password access will be retained by XOUBIC until full payment has cleared. (L) When a test link is provided, it is the responsibility of the Client to test the functionality, read and check all copies, as well as approve the design and images used before approval is given. (M) XOCUBIC will charge for any reactivation of any digital download or back up links after 14days, requested by the client if available to the client. Charges will be made at £5 per each 500MB.

DELIVERY 

TERMINATION

(A) If an account is unpaid for more than 14 days the account and its associated services are suspended. All outstanding payment must therefore be made before project reactivation. (B) Should access to files, databases and other content be required before they are deleted, account reactivation will be required, incurring a reactivation charge based on our standard hourly rate of £75. (C) XOCUBIC expressly reserves the right to terminate or suspend your subscription without prior notice should you fail to comply with any clause within these Terms and Conditions or should XOCUBIC or our suppliers deem such action necessary where legal proceedings are threatened or issued regarding the form or content of the project in relation and in such circumstances XOCUBIC will confirm such termination or suspension by subsequent notice. (D) Where XOCUBIC or our suppliers terminate or suspend your subscription in reliance upon your breach of Agreement, or you terminate your subscription, you will not be entitled to any refund of any unused part of your subscription. (E) No refunds will be made for Services suspended and/or terminated. (F) We reserve the right to suspend the Services and/or terminate this Agreement at any time. (G) You may cancel the Services at any time, upon ninety (30) days’ notice and providing that all charges have been paid. (H) Once termination of this Agreement or suspension of the Services has been reached we shall be entitled to immediately to remove all data relating to it. (I) Upon Termination of contract XOCUBIC can destroy all file and data relating to any project or reverse right of ownership to all materials. (J) XOCUBIC shall not be liable for any consequential loss whatsoever in relation to termination of your account in any circumstances.

PREVIEW SESSION: 30min - 1Hr consultation period once layout as been made live.

SUMMARY

(A) XOCUBIC offers website hosting and database hosting services through the use of third party providers and is subject to requirements set out in these terms and conditions and any other relevant terms and conditions, policies and notices which may be applicable to the supply of hosting services. (B) Below is a summary of the main points covered in these terms: (C) Whilst we and our suppliers will always endeavor to give you the best possible level of service, we cannot guarantee 100% availability of service. (D) XOCUBIC and our suppliers accept no responsibility for any losses caused through a loss of service. (E) Your service will be suspended or removed if you fail to pay in time or misuse the service. (F) XOCUBIC will not be liable for any costs to restore your service once it has been removed. Specifically, any websites with databases will require reprogramming once they have been removed from their original server. Also new charges will be supplied for new services. (G) Any work undertaken by XOCUBIC at the request of the client will be charged at our standard rate of £75/hour, including investigations regarding problems or loss of service that are not due to XOCUBIC or our suppliers. XOCUBIC should only be contacted after you and your IT professional/advisor have established that any problems are not due to you or your systems.

(A) The Client shall supply the content for your web pages in clear, usable and permanent or electronic form and shall be entirely responsible for the content of their web pages. (B) XOCUBIC may provide legal disclaimers and privacy policies; but it is the responsibility of the Client to confirm with their own legal advisers that these meet their individual requirements as XOCUBIC accepts no responsibility for their accuracy, relevance or currency. (C) All images uploaded to websites by the Client (via CMS, FTP or other means) should be optimized (compressed file size). XOCUBIC can provide advice on the best image editing software packages, but accepts no responsibility for the performance or compatibility of third-party software, or the results they produce. (D) We make no representation and give no warranty as to the accuracy or quality of information received by any person via the Server and we shall have no liability for any loss or damage to any data stored on the Server. You warrant the accuracy, truthfulness and reliability of any information (including, where applicable, statements of opinion or advice) which you place or allow to be placed on your web pages. You warrant that you are authorised to promote and/or provide any information which you promote and/or provide on your web pages (for example if you are providing financial information, that you hold any necessary authorisation under all relevant legislation including the Financial Services Acts). (E) You represent, undertake and warrant to us that you will use the website allocated to you only for lawful purposes. In particular, you represent, warrant and undertake to us that. (D) You are entirely responsible for any civil or criminal liability that is incurred as a result of any use of your web pages. If you post or allow to be posted a defamatory or libelous message, it is you that will be deemed to have published it and you that shall be liable for the consequences of it. (E) You will not use the Server in any manner which infringes any law or regulation or which infringes the rights of any third party, nor will you authorise or permit any other person to do so. (F) Once an account has a suspended or terminated status, access to files, databases and other content is explicitly denied. All files, databases and other content including the account itself will be permanently deleted after 14 days of account suspension. (G) We and our suppliers reserve the right to remove any material which they deem inappropriate from your web site without notice (specifically, but not restricted to, Warez and illegal MP3, MP4 content). (H) While our suppliers will use every reasonable endeavor to ensure the integrity and security of the Server, neither we nor our suppliers guarantee that the Server will be free from unauthorised users or hackers and neither we nor our suppliers shall be under any liability for non-receipt or misrouting of email or web traffic, or for any other failure of email or websites. Your data pages may not be secure against hackers and you take that risk. If you find evidence of infiltration, please notify XOCUBIC or support team if provided within your package and we will take steps both to try and prevent it and to notify the proper authorities. PROJECT STAGES

DEPOSIT: This deposit paid is required in addition to the following before project may commence, Research & materials: Research process conducted by teams involved and all materials required documents, brief, props are required within 14days from the date of Deposit.

 

CAPTURE: Shoot commence within set time line and then prepared for edits

Editing: process varies depending on package and value of the project, not all package will have the same editing process or outcomes. Editorial shoots will vary for events or weddings.

 

FINALIZATION: once edits are completed a flattened copy of the project file in digital format will be submitted to the client changes cannot be made at this stage and changes or alternation should be made before editing process subject to changes according to the initial brief. change which requires additional materials, reshoot are we order of props or models, rebooking of venues will be added and charged for at the clients expense. All outstanding payment should be made during this stage for submission clearance. any change or amendments need in addition will be charged at our hourly rate of £75 an hour.

A) These terms & conditions and the booking form cannot be varied in any way by the client unless such conditions are expressly agreed in writing by the photographer. (B) Where time is of the essence the Photographer entirely at its own discretion may accept an instruction given orally, in this event the Photographer shall accept no liability for any error in executing the order. (C) Unless the Photographer is given prior written notice by the Client, the person placing or signing the order on behalf of the Client is deemed to be authorised to do so. (D) When a Client’s policy is not to rely on email confirmations, hardcopy paperwork must be supplied, if none is provided, then the email traffic will constitute a contract in law.

AUTHORITY

 (A) The copyright Designs and Patents Acts 1988 assign the copyright of the images to the photographer. (B) Where reproduction of Works has taken place and full payment has not been made, the Photographer will make such charges to the publisher of those images as falls within the Copyright, Designs and Patents Act 1988.

COPYRIGHT 

(A) The photographer shall endeavour to photograph in line with the clients express wishes, however no responsibility will be laid on the photographer. For example: a particular guest is not photographed at a big event. (B) For a booking involving a church ceremony or at certain venues, the photographer's movements are sometimes restricted by the official in charge. The area from which the photographer is able to cover the ceremony may not be the photographer's choice and the photographer cannot accept responsibility for any obstructed view. This will also be the case with regards to lighting. (C) All equipment is checked constantly and reasonable steps are taken to ensure backup equipment is available, however the photographer will not be responsible for photographs that are not produced due to technical failure. 

COVERAGE

(A) The photographer has the right to display any works covered by this contract. The works may be used generally to promote the photographer in advertising, brochures, magazine articles, websites, sample albums etc. (B) The photographer has the right to watermark any works covered by this contract. (C) The photographer has the right to insist that the photographers watermark be placed on or in reasonable proximity of any reproduction of works. 

DISPLAY

(A) The photographer has the right to employee the services of third parties and sub-contractors for the benefit of providing a better service to the client. For the purpose of this contract third parties and sub-contractors shall also be known as "the photographer".

THIRD PARTY

(A) If payment has been made the photographer endeavours to deliver edited completed package within 2 month after the event. This can only be possible if the client confirms selections from proofs promptly within one week of receiving the proofs. (B) The photographer has the right to destroy all works after 2 weeks of submission. (C) Changes to project should be made before Editing process, Edits request involving additional materials, models, props, reshoots, rescheduling of venue and all additional expenses involved will be charged to clients account. (D) Editing of captured footage will vary depending on package so will the process varying from retouching to manipulation and composition.

PROCESS

(A) Cancellation must be made between 14 days of paying the deposit package costs. From the 15 days after paying the deposit a booking is considered firm. From this date cancellation will be charged at 60% of deposit. A change of date may also be chargeable, at the discretion of the photographer. (B) Unless a rejection fee has been agreed in advance, there is no right to reject on the basis of style or composition.

CANCELATIONS AND REJECTION

(A) This agreement shall be governed by the Laws of England & Wales. 

APPLICABLE LAW.

In the following terms & conditions “the photographer” shall mean XOCUBIC. “the client” shall be those persons defined as the client(s) on the booking form.

 

Whereas, the photographer or videographer is engaged in the service of taking photos, editing photos and the delivery of digital prints. All photographic material furnished by the photographer whether transparencies, negatives, proofs , prints, digital files or any other type of physical or electronic material in existence now or yet to be developed for the sake of the contract shall mean "works".

Whereas, the client is employer of the photographer. The client is required to ensure the payment of the photographer for all service rendered in line with the booking form and terms and conditions 

SUMMARY

(A) Deposit is one third of the package cost. Please refer to the booking form for the package cost and breakdown of payment.  The remaining balance must be made promptly on the day of the event. The date of the event is also specified on the booking form. (B) Any payment plan put in place must be expressed in writing and agreed by both the client and photographer. (C) The photographer has the right to withdraw any payment plan put in place where the client does not adhere to payment dates and amounts. In this case the client will have to pay in full immediately. (D) The photographer has the right to administer an additional £25 charge with every efforts (in the form of an emails or letter) made to recovering debt. Debt is any amount due over the agreed payment date. No more than three efforts a month will be made. (E) Payment may include additional travel expenses. This will be stated on the booking form. (F) Where extra expenses or times are incurred by the Photographer as a result of alterations to the original brief by the Client, or otherwise .The Client shall give approval to and be liable to such extra expenses or fees, in addition to the fees and expenses stated in the booking form. Extra expenses and fees will be complied in an addition invoice.
